Denis is a former partner from Davies Ward Phillips & Vineberg LLP, having practiced both in Toronto and in New York. Prior to joining Davies, Denis practiced with the private equity group at Dewey Ballantine LLP in New York. Denis practices in the areas of corporate, commercial and securities law, with an emphasis on advising businesses who require securities advice under both Canadian and U.S. law. Denis also has significant experience with negotiated acquisitions and secured and unsecured lending. He has experience with a variety of transactions, including securities offerings, purchases and sales of private businesses and divisions of public enterprises, joint ventures, intellectual property licensing and bank lending.

Denis also regularly advises clients with respect to complex manufacturing, licensing and distribution agreements, working with clients involved in healthcare products, consumer products and educational programs.

With respect to securities matters, Denis has advised clients with initial and subsequent U.S. securities offerings and periodic reporting requirements in Canada and in the U.S., most recently representing a medical device manufacturer on its U.S. IPO. He has advised clients on new corporate governance requirements imposed under the Sarbanes-Oxley Act of 2002 and contributed material to Guy Lander’s What is Sarbanes-Oxley? In 2002, Denis was a visiting lecturer at McGill University, where he led a business law seminar: “Venture Capital and the Technology Industry”.
