Our client, an Ontario corporation listed on the Canadian Securities Exchange (CSE) (the “Client”), closed a bought deal private placement financing of over $5.5M (the “Offering”). The securities issued in the Offering were offered pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106– Prospectus Exemptions, as amended by the Coordinated Blanket Order 45-935 – Exemptions from Certain Conditions of the Listed Issuer Financing Exemption, in all the provinces of Canada, except Québec, and in certain other jurisdictions pursuant to applicable securities laws.
